Snapping not working for me

I am trying to snap a three side shape to a 4 sided shape.  When I try to snap it to the entity it snaps to the grid and won't snap to the 4 sided shape. Snap to grid is not, I repeat not, checked.  Snap to entity is checked.

What am I missing?
